Jha, who revived Motorola's Mobile Devices business and led the company through this acquisition, has stepped down as CEO, although he will continue to work with Google to help ensure a smooth transition.
The acquisition will enable Google to supercharge the Android ecosystem and will enhance competition in mobile computing.
Jha's compensation for 2010 included a salary of $900,000 and stock and option awards of about $10 million, the company said in a filing with the Securities and Exchange Commission on Tuesday.

Motorola has modified the terms of compensation for co-chief executive Jha, including a bigger paycheck, if the restructuring falls through.
This was disclosed in a filing to the US Securities and Exchange Commission, in which Motorola outlined the compensation that Jha stands to gain.
In August, Google said it will buy Motorola Mobility for $12.5 billion -- making it the biggest ever takeover by the Internet giant so far.
The all-cash deal will boost Google's competitive edge in the mobile computing arena as well as give it access to Motorola's range of Android operating system-based offerings.
Motorola would permanently freeze its US pension plans from March 1, 2009, preserving vested benefits accrued by employees and retirees but eliminating future benefit accruals. ."Employees would not receive a salary increase in 2009," the company said.
